Jethro Chang, formerly the chief lawyer of Shanghai Dongxin Law Firm, has been the Senior Partner of SG & CO PRC LAWYERS since May 2010, and has served as the Director of SG & CO PRC LAWYERS since July 2019. 

Jethro is familiar with a range of laws and adept across legal practices such as mergers & acquisitions, restructuring, tax structure planning, foreign investment and overseas investment, hotel management and fintech (financial technology). He has successfully represented nearly 1,000 lawsuits and provided legal services for a number of Chinese and foreign enterprises and government agencies including IHG, URS, SMIC (Semiconductor Manufacturing International Corporation), Jones Lang LaSalle, subsidiaries of Tata Group, subsidiaries of China Three Gorges Corporation, Yunnan Chihong Zinc and Germanium Co., Ltd., Shanghai Real Estate Group, Shanghai Waigaoqiao Free Trade Zone Group Co., Ltd., CSSC Steel Structure Engineering Co., Ltd.(now known as CSSC Science & Technology Co., Ltd), IxCell Biotechnology Co., Ltd., Shanghai High Victory Fine Chemical Co., Ltd.   1. Jethro delivered a legal opinion for the early-stage overseas financing of a well-known chip company. (English)

  2. A Chinese manufacturing company purchased a production line from Daewoo Electronics (South Korea) in the early 1990s, yet the poor equipment quality resulted in dispute and arbitration. In representing the Chinese company, Jethro visited various expert engineers and scientific research institutions, where he collected large amounts of evidences. He took the initiative in the arbitration process and was praised by the client. (Chinese)

  3. Jethro has represented one of the world's top 500 companies whose practice areas involve communications and information technology, engineering, materials, services, energy, consumer goods and chemical products and provided due diligence special legal service on its acquisition of a European-based multinational company which had a total of eight branches in mainland China and Hong Kong. The due diligence was extensive, covering every aspect of the company, and indicated relevant risks. (English)

  4. Jethro represented an insurance company (the defendant) in a lawsuit at the Supreme Court. As the plaintiff appealed to the prosecution authority, the Supreme People's Procuratorate appealed the decision of the Supreme Court and the Supreme Court re-heard the case and upheld the original decision. The lawsuit was settled with the defendant bearing no responsibility.

  5. Jethroprovided special legal advisory services for a Shanghai-based subsidiary of IHG (a world-famous hotel management company) on its early preparations for the opening of a hotel franchise in China. (Chinese and English)

  6. Jethro represented the owner of a subsidiary of China Three Gorges Corporation and provided legal services on hotel management covering: the selection of the hotel management company, the verification of the letter of intent, the negotiation and modification of management contracts, and the establishment, staffing, and financial calculation of the hotel project company.   7. Servicing an engineering company, Jethro conducted the comprehensive due diligence checks for the acquisition of an engineering design company located in Guangdong Province. (Chinese)

  11. Jethro has serviced a fine chemicals company, which is mainly engaged in the research and development, production and sales of new pesticides. In order to further enhance its market share and technical level, when the company decided to work with a well-known European enterprise to establish a joint venture in China, Jethro provided special legal services on project development, including revision discussions on the project’s TermSheet, joint venture contracts and articles of association.   12. Jethro provided a listed company with legal risk assessment of investment projects in South America and legal advice on dispute resolution mechanisms. (Chinese)

  13. Jethro has provided legal services for a manufacturing company. Two parties had disputes over custom-made non-standard equipment. The applicant was the entrusted party, and the respondent was the entrusting party. Following the prepayment, the entrusting party failed to pay the remaining money. The applicant initiated an arbitration after negotiations failed. The case was arbitrated in China International Economic and Trade Arbitration Commission in Beijing. Zhang represented the applicant and received full support for the items of application.
