Derivative Commercial Dispute Resolution in Financial Asset Management

• Represented Yisheng Asset Management in a series of arbitration cases against Yong'an Wealth involving eight funds, including Fixed Increase Fund No. 15, Fixed Increase Fund No. 16, and NEEQ Phase 2 Fund.

• Represented Yisheng Asset Management in a major, complex contract dispute involving multiple parties, including Hebei Chenyang Group, arising from the Green Nest No. 9 Fund and Green Nest No. 1 Fund, with a dispute amount of approximately RMB 200 million.

• Handled multiple litigation/arbitration cases filed by several investors against Jingjie Asset Management concerning trust fund products in connection with the "360私有化 Project" and a certain equity investment project, with cases brought in Shanghai, Wuhan, and other venues, involving aggregate dispute amounts exceeding RMB 300 million.

Equity Investment, Financing, and M&A

• Provided comprehensive legal services for Jingrui Property in its acquisitions of multiple enterprises in Beijing, Changzhou, Wuhan, Ningbo, Changshu, and other locations, including legal opinions, due diligence reports, and equity investment and financing transaction documents.

• Provided comprehensive legal services for Wenli Robot, an emerging player in the robotics industry, in connection with multiple financing rounds from funds under China Merchants Shekou and Huitianze Capital, including drafting transaction documents and conducting commercial negotiations.

• Provided comprehensive legal services for a private property management company in Changshu for its financing, including transaction structuring, cooperation model optimization, and drafting transaction documents.

• Conducted pre-acquisition legal due diligence for an equity acquisition project involving an industrial subsidiary of Lingang Group.

• Conducted legal due diligence for a financing project of a large shipbuilding enterprise under Xiangyu Group.

• Provided special legal services for an asset management company under China Construction Group regarding private fund manager registration.

• Provided special legal services for a third-tier subsidiary established under the Shanghai State-owned Assets Supervision and Administration Commission and an asset management company under Bailian Group regarding private fund manager registration.

• Provided special legal services for the establishment of an asset management company through a collaboration between Jinqiao Share and CRRC Fund, among others, regarding private fund manager registration.

• Provided special legal services for the filing of the CICC Gongyi Qijiang (Shanghai) Science and Technology Innovation Equity Investment Fund, established through a collaboration between Industrial and Commercial Bank of China and CICC Asset Management, among others, with a total investment exceeding RMB 10 billion.

• Provided special legal services for the filing of real estate funds by an asset management company under Jingrui Real Estate for investments in projects including Tianjin Tangguwan, Tianjin Xianshuigu, Nanjing Daishan, Taicang Shuanghu, Ningbo Jiangshan, Chongqing Jiulongpo, and Hangzhou Wujin, with total investment in each project exceeding RMB 3 billion.

• Provided special legal services for the establishment of a fund through a collaboration between China Construction Technology Innovation and CDH Asset Management, with a fund size of approximately RMB 4 billion.
